শেয়ারবাজার কী? এটা কীভাবে কাজ করে?

 

শেয়ার বাজার এমন একটি স্থান যেখানে বিভিন্ন দায়বদ্ধ পাবলিক লিমিটেড কোম্পানি যারা স্টক একচেঞ্জে নিবন্ধিত হয়ে তাদের শেয়ার কেনা বেচা করে, একে পুঁজি বাজার ও বলা হয়। “এক কথায় বলতে গেলে কোনো কোম্পানি মূলধন সংগ্রহের উদ্দেশ্যে তার উদ্দিষ্ট প্রাথমিক মূলধনকে কতোগুলো ছোট অংশে ভাগ করে জনগণের কাছে বিক্রি করে হয়, এই প্রত্যেকটি অংশকে এক একটি শেয়ার বলে।“
প্রাপ্ত বয়স্ক মানে ১৮+ যে কেউ শেয়ার ব্যবসায় আসতে পারেন। তবে তার জন্য প্রথম যে কাজটি করতে হবে তা হলো ব্যাংকে সঞ্চয়ী (savings) হিসাব খুলতে হবে। এরপর সেই ব্যাংক হিসেবের বিপরীতে CDBL (সেন্ট্রাল ডিপোজিটরি অফ বাংলাদেশ লিমিটেডের) অধীনে বিও (বেনিফিসিয়ারি অনার) একাউন্ট খুলতে হবে। মানে সোজা বাংলায় আপনি যে কোনো ব্রোকার হাউসে থেকে এ বিও একাউন্ট খুলতে পারেন। এ বিও একাউন্ট খোলার পর একজন বিনিয়োগকারী প্রাইমারি ও সেকেন্ডারি উভয় মার্কেটে শেয়ার ব্যবসা করতে পারেন। প্রত্যেক বছর বেশ কিছু কোম্পানি IPO (ইনিশিয়াল পাবলিক অফার ) দিয়ে শেয়ার বাজারে তালিকাভুক্ত হয়। একটি কোম্পানি যখন প্রথমবারের মতো বাজারে প্রবেশ করে বা শেয়ার বাজারে ছাড়ে তাকে প্রাইমারি শেয়ার বলে। যখন আপনি B.O. Account খুলবেন, তারপর আপনাকে ঐ কোম্পানীর প্রাইমারী শেয়ারের আবেদন পত্রটি সংগ্রহ করতে হবে । আর যেটাই করেন না কেন, সবকিছুই করতে হবে আপনার একটি Broker House এর মাধ্যমে।

প্রাইমারি শেয়ার একবার বাজারে বিক্রি হয়ে গেলেই তা সেকেন্ডারি হয়ে যায়। তখন সেটা সেকেন্ডারি মার্কেটে চলে আসে আর সেই শেয়ার সেকেন্ডারি শেয়ার বলে গণ্য করা হয়। সেকেন্ডারি মার্কেটে আপনি ইচ্ছা মতো শেয়ার ক্রয়-বিক্রয় করতে পারবেন। বাংলাদেশে শেয়ার বাজারে বর্তমানে দুই প্রকারের শেয়ার লেনদেন হয়ে থাকে। প্রাইমারি(আইপিও) এবং সেকেন্ডারি। প্রাইমারি শেয়ারের জন্য আবেদন করতে খুব বেশি টাকার প্রয়োজন হয় না। প্রাথমিক শেয়ারের ক্ষেত্রে ঝুঁকি নাই। সেকেন্ডারি মার্কেটে লাভের সম্ভাবনা যেমন আছে তেমনি ঝুঁকিও বেশি আছে। বুঝে-শুনে সেকেন্ডারি মার্কেটে বিনিয়োগ করাই ভাল। তাই কোনো রকম গুজবে কান না দিয়ে,না বুঝে সেকেন্ডারি মার্কেটে বিনিয়োগ করা ঠিক নয়।

শেয়ার বাজার সম্পর্কে জানুন

যারা নতুন সবে মাত্র ব্যবসা শুরু করেছেন তাদের জন্য। কারন আমরা ভালমন্দ বিচার না করে শেয়ার কিনি পরে তা লোকসান দিয়ে বি্ক্রি করতে হয় ফলে আমাদের অনেক টাকা ক্ষতি হয়ে যায়। তখন চোখে অন্ধকার দেখা ছাড়া কিছুই করার থাকে না । যদি আমরা শেয়ার কেনার আগে একটু সচেতন হই তাহলে আমার মনে হয় খুব বেশি ক্ষতি হওয়ার হাত থেকে আমরা রেহাই পাব। প্রথমে আমি আপনাদের ভাল ক্যাটাগরির শেয়ার কেনার পরামর্শ দেব। মার্কেটে বিভিন্ন ক্যাটাগরির শেয়ার আছে যেমন : এ, বি, এন এবং জেড ।
এবার বলি কো্নটা কি ?

• এ ক্যাটাগরির শেয়ার : যে সব কোম্পানী প্রতিবছর বার্ষিক সাধরন সভা করে এবং ১০% বা তার অধিক লভ্যাংশ দেয়।
• বি ক্যাটাগরির শেয়ার : যে সব কোম্পানী প্রতিবছর বার্ষিক সাধরনসভা করে কিন্তু ১০% এর নিচে লভ্যাংশ দেয়।
• এন ক্যাটাগরির শেয়ার : সদ্য্ তালিকাভুক্ত কোম্পানীকে এন ক্যাটাগরির মধ্যে রাখা হয় । পরে লভ্যাংশ ও বার্ষিক সভার উপর ভিত্তি করে অন্য ক্যাটাগরিতে নেওয়া হয়।
• জেড ক্যাটাগরির শেয়ার : যে সকল কোম্পানি নিয়মিত বার্ষিক সাধারন সভা করতে ব্যর্থ, লভ্যাংশ প্রদান করতে ব্যর্থ, পুঞ্জিভুত লোকসান পরিশোধিত মুলধনকেও ছাড়িয়ে যায়। ছয় মাস বা ততোধিক কাল সময় উৎপাদন বন্ধ থাকে।

শেয়ার কেনার আগে কি কি বিষয়ের ওপর লক্ষ্য রাখতে হয়? কোন শেয়ার ভালো আর কোন শেয়ারে ঝুঁকি আছে সেটা কি করে বুঝব?

শেয়ারের মূল্য আয় অনুপাত (P/E): পি/ই রেশিও যত কম হয়, বিনিয়োগে ঝুঁকি তত কম। মূল্য-আয় অনুপাত হচ্ছে একটি কোম্পানির শেয়ার তার আয়ের কতগুণ দামে বিক্রি হচ্ছে তার একটি পরিমাপ।
শেয়ার প্রতি সম্পদ মূল্য (NAV): এর মাধ্যমে আমরা কোম্পানির শেয়ার এর প্রকৃত সম্পদ মূল্য সম্বন্ধে জানতে পারি ।
শেয়ার প্রতি আয় (EPS) : এটা যত বেশি হবে ততই ভালো। ইপিএস বেশি হলে বেশি লভ্যাংশ দেওয়ার সুযোগ থাকে। ইপিএস কম হলে লভ্যাংশের সক্ষমতাও কম হয়।
মোট শেয়ারের সংখ্যা: চাহিদা-যোগানের সূত্র অনুসারে শেয়ার সংখ্যা কম হলে তার মূল্য বাড়ার সম্ভাবনা বেশি থাকে। অন্যদিকে শেয়ার সংখ্যা বেশি হলে বাজারে তা অনেক বেশি সহজলভ্য হয়।
অনুমোদিত মূলধন (authorized capital) আর পরিশোধিত মূলধন (paid-up capital): এই দুই মূলধনের পরিমাণ কাছাকাছি থাকলে বোনাস ও রাইট শেয়ার ইস্যু করা বেশ কঠিন। এ ক্ষেত্রে কোম্পানিকে আগে অনুমোদিত মূলধন বাড়াতে হবে। বোনাস লভ্যাংশে যেসব বিনিয়োগকারীর বিশেষ ঝোঁক রয়েছে তাদের উচিত এসব বিষয় দেখে নেওয়া।
ডিভিডেন্ড ঈল্ড : শেয়ারের বাজার মূল্য বেশিরভাগ ক্ষেত্রে অভিহিত মূল্যের চেয়ে বেশি হতে পারে। তাই লভ্যাংশের হার প্রকৃত রিটার্ন নির্দেশ করে না। ডিভিডেন্ড ঈল্ডই শেয়ারের সঠিক রিটার্ন। বাজার মূল্যের ভিত্তিতে প্রাপ্ত লভ্যাংশ বিনিয়োগের কত শতাংশ তা-ই হচ্ছে ডিভিডেন্ড ঈল্ড।
গত ৩-৪ বছরের ট্র্যাক রেকর্ড: কী পরিমাণ ডিভিডেন্ড দেয় তা দেখুন। বার্ষিক গড় মূল্য দেখুন। চেষ্টা করুন এই মূল্যের কাছাকাছি দামে শেয়ার কেনার। ডিএসইর সাইটে প্রকাশিত গত ৫-৬ মাসের খবর: পত্র-পত্রিকায় দেশ-বিদেশের অর্থনীতি ও ব্যবসার সংবাদগুলো দেখুন। তাহলে সম্ভাবনাময় খাত ও কোম্পানি চিহ্নিত করা অনেক সহজ হবে। ডিএসই এখন ৪ মাস পর পর কোম্পানির আর্নিং রিপোর্ট প্রকাশ করে ।
একটু মাথা খাটালেই বছর শেষে কী পরিমাণ লাভ হতে পারে তা জানা সম্ভব। আপনি যে কোম্পানির শেয়ার কিনবেন সে কোম্পানির গুড উইল ও তার পরিচালকদের সামাজিক ও রাজনৈতিক দিকটাও বিবেচনায় নিতে হবে। একটি কোম্পানি কতটুকু ভালো ব্যবসা করবে, ব্যবসার সম্প্রসারণের সম্ভাবনা কতটুকু তা নির্ভর করে এর উদ্যোক্তাদের দূরদর্শীতা, দক্ষতা ও আন্তরিকতার উপর।

পুঁজিবাজারের মৌল ধারণা

 

  
বিনিয়োগ ক্ষেত্র হিসাবে পুঁজিবাজারের পরিধি ব্যাপক এবং বিস্তৃত। আমাদের সবার লক্ষ্য পুঁজিবাজারে বিনিয়োগ করে মুনাফা করা।  যদিও একজন সাধারণ বিনিয়োগকারীর পক্ষে এ বাজারে বিনিয়োগ করে মুনাফা অর্জনের বিষয়টি খুব সহজ কাজ নয়। এজন্য বিনিয়োগকারীকে বিভিন্ন কলা কৌশলসহ বহুবিধ বিষয় জানতে এবং বুঝতে হয়। কিন্তু অনেক গুরুত্বপূর্ণ বিষয় নিয়ে জানা বা শেখার ব্যাপারে আমাদের অনাগ্রহের বেশ বড় মাপে ঘাটতি রয়েছে। আমরা না জেনে বা শিখে অনেক কিছু পেতে চাই। কিন্তু সেটা সব সময় সম্ভব হয়ে ওঠে না। তাই আজকের আলোচনায় পুঁজিবাজারের শিক্ষনীয় মৌল বিষয়ের ওপর আলোকপাত করা হবে।

আপনারা সবাই জানেন- পুঁজিবাজার পুঁজিঘন এবং অত্যন্ত বুদ্ধিভিত্তিক বিনিয়োগ ক্ষেত্র। এখানে বিনিয়োগের সময় বিনিয়োগকারীকে অনেক প্রজ্ঞা, দক্ষতা ও দূরদর্শিতার পরিচয় দিতে হয় । বিনিয়োগ সংক্রান্ত স্বচ্ছ ও মৌলিক জ্ঞান ছাড়া  এ ব্যবসায় ভালো ফল লাভ করা যায় না। যারা দীর্ঘ মেয়াদে এখানে বিনিয়োগ করে প্রত্যাশিত মুনাফা লাভ করতে চান তাদেরকে অবশ্যই সংশ্লিষ্ট বিষয়গুলো জানতে এবং শিখতে হয়। এই শেখার প্রক্রিয়া বিশ্লেষণ করলে- তিনটি ধারা খুঁজে পাওয়া যায়।

এক. ঠেকে ঠেকে শেখা :- যারা মূলত এই ব্যবসার সাথে সম্পৃক্ত থেকে সেবা দান করছেন তাদের সবাইকে ঠেকে ঠেকে শিখতে হচ্ছে। এই প্রক্রিয়ায় শেখার জন্য একটু ধৈর্য্য এবং বাড়তি শ্রম প্রয়োজন হয়। যারা শিখতে পারেন তারা নিশ্চিত সুফল লাভ করেন।

দুই. ঠকে ঠকে শেখা :- আমরা যারা পুঁজিবাজারে বিনিয়োগ করে শিখতে চেষ্টা করছি। এই প্রক্রিয়ায় যারা শিখতে চান তাদের অনেকেই কর্ষ্টাজিত পুঁজি এবং মূল্যবান সময়ের চরম মূল্য দিয়ে শিখতে হয়। এই শেখার ফলাফল সহসা লাভ করা যায় না।

তিন. আগাম শেখা :- শিক্ষানবীশ হিসাবে জ্ঞান লাভ করা, তারা প্রথম দুই শ্রেণির তুলনায় অবশ্যই সৌভাগ্যবান। বিশেষ করে আমরা যারা পুঁজিবাজারে বিনিয়োগ করিনি বা করতে ইচ্ছুক তারা অনেক বেশি অর্থ এবং সময় খরচ না করেই শিক্ষা লাভের সুযোগ পাচ্ছি।

আমরা জানি, পুঁজিবাজারে বিনিয়োগে অভিজ্ঞতার বিকল্প নেই। কিন্তু অনেক ক্ষেত্রে স্বচ্ছ ধারণা, পরিশ্রম ও সর্তকতার আলোকে অভিজ্ঞাতার বিষয়টি গৌণ হয়ে যায়।(লাফার্জ সুরমা সিমেন্ট এবং তিতাস গ্যাস কোম্পানি দু’টোতে সাম্প্রতিক বিনিয়োগ ফলাফল এর বড় উদাহরণ। দুটি কোম্পানিই মৌলভিত্তি সম্পন্ন। তিতাসের আয় ভালো হলেও বিশেষ কারণে এবছর তা কমেছে, আগামীতে আরো কমে যাবার আশংকা রয়েছে। অপরদিকে বহুজাতিক সিমেন্ট কোম্পানি লাফার্জ সুরমা সিমেন্টের বিক্রি এবং আয় কমেছে, ব্যয় বাড়ছে। ফলে দুটি কোম্পানির শেয়ারের দাম গত দেড়/দুই মাসে ২৫-৩০% এবং এক বছরে প্রায় ৫০ শতাংশ হ্রাস পেয়েছে।

অনেক অভিজ্ঞ বিনিয়োগকারী অধিক আত্মবিশ্বাসের কারণে কোম্পানির সর্বশেষ অবস্থা সম্পর্কে খোঁজ-খবর না নিয়ে কোম্পানি দুটিতে বিনিয়োগ অব্যাহত রাখার ফলে বড় লোকসানের শিকার হয়েছেন। আর যারা খোঁজ-খবর নিয়ে বা আগাম বুঝতে পেরে শেয়ার দুটি এক বছর বা দু’মাস আগে বিক্রি করেছেন তারা হয়েছেন লাভবান। এটাকে বলা যায় দূরদর্শীতা বা সতর্কতার ফল। তবে এটাও মনে রাখা দরকার- সাময়িক নেতিবাচক খবরে বিনিয়োগ ঝুঁকি এড়াতে ভালো মৌলের শেয়ার বিক্রি করে সে পুঁজি নতুন ভাবে কোথায় বিনিয়োগ করছেন? ডাঙায় বাঘের থাবার আক্রমন থেকে নিজেকে রক্ষার জন্য পানিতে ঝাঁপ দিয়ে কুমির বা হাঙ্গরের মুখে পড়ছেন কিনা? যারা লাফার্জ সুরমা সিমেন্ট এবং তিতাস গ্যাস কোম্পানির শেয়ার বিক্রি করে এক বছর আগে ফিন্যান্স এবং ইন্স্যুরেন্স খাতে বিনিয়োগ করেছেন তাদের অবস্থা তেমনটি হয়েছে। কিন্তু অভিজ্ঞ বিনিয়োগকারী তা করেননি বলা যায়।
*পুঁজিবাজারে বিনিয়োগ সংক্রান্ত জ্ঞান অনেকটা নবায়নযোগ্য উচ্চতর গবেষণার মতো। এটা নিয়মিত অধ্যায়ণ বা অনুশীলনের মাধমে আত্মস্থ করতে এবং সে অনুসারে বিনিয়োগ সিদ্ধান্ত গ্রহণ করতে হয়। বিনিয়োগ চোখ বুজে ঢিল ছুঁড়ে পাখি মারার মতো বিষয় নয়।

সুতরাং যারা শুরুতেই যে কোনো বিষয় ভালো ভাবে জানা এবং বোঝার সুযোগ লাভ করে, তারা অল্প সময়ে অনেক সফলতা অর্জন করতে পারেন। সে বিচারে বলতে পারি- আমাদের তুলনায় নবীনরা অবশ্যই সৌভাগ্যবান। আশা করছি- আজকের আলোচনার মাধ্যমে পুঁজিবাজারের সম্ভাবনা-সমস্যা এবং বিনিয়োগ সংক্রান্ত লাভ-লোকসানের বিভিন্ন দিক সম্পর্কে ভালো ভাবে জানা এবং বোঝার সুযোগ ঘটবে।

পুঁজিবাজারের গতি-প্রকৃতি এবং বৈশিষ্ট্য পর্যালোচনা

পুঁজিবাজারের ব্যাপ্তি বা পরিধি যেমন ব্যাপক এবং বিস্মৃত এখনকার বিনিয়োগ সংক্রান্ত নিয়ম-নীতি কর্মকান্ড তার চেয়েও  বেশি ব্যাপক, জটিল এবং অধিকাংশ ক্ষেত্রেস্ববিরোধী*। এসব বিষয় বিনিয়োগকারীর ভালো ভাবে জানা দরকার।

পুঁজিবাজারের  ইতিহাস পর্যালোচনা করলে দেখা যাবে- সার্বিক বিচারে এ বাজারে খুব কম সময় চাঙা অবস্থা বিরাজ করে। অধিকাংশ সময় বিভিন্ন কোম্পানির শেয়ারের দাম, লেনদেন ও মূল্য সূচক নিন্মমুখী দেখা যায়।এ সময় মাঝে মাঝে বাজারে ছোট ছোট উত্থানের ঢেউ দেখা দিলে তা মিলিয়ে যেতে সময় লাগে না। এ অবস্থার প্রেক্ষিতেও বেশির ভাগ কোম্পানির শেয়ারের দাম, আয় প্রবৃদ্ধি অনুসারে অতিমূল্যায়িত থাকতে পারে। ফলে পতনমূখী বা মন্দাক্রান্ত বাজারে অপেক্ষাকৃত কম দামের শেয়ারে বিনিয়োগ করেও সাধারণবিনিয়োগকারীরা লাভবান হতে পারে না। বরং লোকসান গুনতে হয় অধিকাংশ ক্ষেত্রে।মূলত মন্দাক্রান্ত বাজারে বিনিয়োগ ঝুঁকি অপেক্ষাকৃত কম মনে করা হলেও অজ্ঞতা বশতঃ বিনিয়োগ করলে বিনিয়োগকারী বড় ধরনের লোকসানের শিকার হতে পারেন।বাজার পর্যালোচনায় দেখা যায়- চাঙা বাজার পরিস্থিতিতে বিনিয়োগকারী অতিমূল্যায়িত কোম্পানির শেয়ারে বিনিয়োগ করে অধিক মুনাফা অর্জন করে। চাঙা বাজারে এমন একটা সময় আসে যখন অভিজ্ঞ-অনভিজ্ঞ, দক্ষ-অদক্ষ এবং নতুন-পুরাতনসব বিনিয়োগকারী মুনাফা করতে পারে। তখন বিনিয়োগ খুব বেশি বিচার বিশ্লেষণ করার প্রয়োজন হয় না। অথচ মন্দা বাজারে শেয়ারের দাম অপেক্ষাকৃত কম হলেও বিনিয়োগকারীরা খুব সাবধানী বা হিসাবী হয়।সাধারণত তারা তখন খুব বেশি ঝুঁকি নিতে চায় না। ফলে মন্দা বাজারে বিনিয়োগে মুনাফা করা কঠিন হয়ে যায়। বরং এ সময় বেশির ভাগ বিনিয়োগকারী লোকসানের শিকার হয়। তবে মন্দাক্রান্ত বাজারে বিনিয়োগে মুনাফা করা যায় না একথাও সত্য নয়। দক্ষ ও অভিজ্ঞ বিনিয়োগকারীরা এ বাজার পরিস্থিতিতেও অত্যন্ত আকর্ষণীয় মুনাফা করতে সক্ষম হন। আর এজন্য বিনিয়োগকারীকে বিনিয়োগের মৌলিক বিষয়গুলো এসময় ভালো করে জানতে ও বুঝতে হয়। এতে যারা যতো দক্ষতার পরিচয় দেন; বিনিয়োগে তারা ততো লাভবান হন। আর এসময়ে নতুন ভাবে পোর্টফোলিও সাজানোর সহজ সুযোগ সৃষ্টি হয়। এক্ষেত্রে উদার এবং হিসাব নির্ভর বিনিয়োগ নীতি পরিহার করে সংরক্ষণমূলক বিনিয়োগ নীতি গ্রহণ করে ধৈর্য্যরে পরীক্ষায় উত্তীর্ণ হতে হবে।মন্দা বাজারে ভালো মৌলের কোম্পানির শেয়ারের দাম অনেক কম থাকে। এসময় সে সব কোম্পানিতে বিনিয়োগ করলে ভবিষ্যতে ভালো মুনাফা করার সম্ভাবনা বৃদ্ধি পায়। তাই দক্ষ বিনিয়োগকারীরা এই সময়টাকে মৌলভিত্তি সম্পন্ন কোম্পানির শেয়ারে বিনিয়োগের উত্তম সময় বলে মনে করেন। যারা শেয়ার বাজারের ক্রান্তিকালে বিনিয়োগ করেন, তারাই অধিক হারে সফলতা লাভ করেন। এটা পুঁজিবাজারের ইতিহাসে চিরন্তন প্রমাণিত সত্য। আমরা আশাবাদী- উপস্থিত বিনিয়োগকারীরা সম্ভাবনাময় বাজারে দক্ষতা ও প্রজ্ঞার সাথে বিনিয়োগ করে সাফল্য লাভ করবেন।

* শেয়ারের অস্বাভাবিক দাম বাড়লেবা অতিমূল্যায়িত শেয়ারে বিনিয়োগে ঝুঁকির মাত্রা বেড়ে যায়। অথচ বিনিয়োগকারীরা তখন অধিক হারে বিনিয়োগ করে থাকে।

* মৌলভিত্তিহীন লোকসানি কোম্পানির শেয়ারের দাম অস্বভাবিক মাত্রায় বাড়ার পরও আরো দাম বাড়বে- এমন গুজব ও হুজুগে বাজারে সেসব কোম্পানির শেয়ার কেনার অস্বাভাবিক চাহিদা বৃদ্ধির ফলে বিক্রেতা শূন্য হতে দেখা যায়।

* কোনো কারণে শেয়ারের আয় ৫/১০ শতাংশ কমেছে এমন খবরে শেয়ারের দাম ৩০/৪০ শতাংশ কমার পরও আরো কমতে পারে এমন আশংকায় বিক্রির চাপে বাজার ক্রেতা শূন্য হয়ে পড়ে।

* চাঙা বাজারে নিয়ন্ত্রক সংস্থাগুলোর আইনি শৈথল্য বা উদার নীতি লক্ষনীয় হয়ে ওঠে। অথচ পতনমুখি বিপর্যস্ত বাজারে কঠোর নিয়ম-নীতি আরোপ করা হয়।
